The deal, structured as an integrated OpCo-PropCo transaction, included both the operating company and the underlying real estate — a structure that gives Fractal full control of the physical assets and positions the schools for long-term capital investment. Financial terms were not disclosed.
Little Learning Academy had built a community-rooted reputation in the Houston market, with both locations recognized for their learning environments and experienced teaching staff. The acquisition gives Fractal Education an established platform in one of the country’s largest and fastest-growing metropolitan markets, with an existing enrolled family base and real estate it can develop over time.
The OpCo-PropCo structure — in which the buyer acquires both the business operations and the physical properties in a single transaction rather than leasing facilities from a third-party landlord — has become an increasingly common deal format in the early childhood education sector, particularly among strategic acquirers seeking long-term control over site economics.
