Fulcrum Therapeutics and Slate Medicines have entered into a definitive all-stock merger agreement that will create a Nasdaq-listed biotechnology company focused on next-generation migraine treatments and backed by an oversubscribed $245 million private placement. The combined company will operate as Slate Medicines and is expected to trade under the ticker SLTE.
Its lead program will be SLTE-1009, a clinical-stage subcutaneous monoclonal antibody targeting both PACAP and VIP for the prevention of migraine and other headache disorders.
The concurrent financing is led by Frazier Life Sciences and includes Forbion, RA Capital Management, Deep Track Capital, Foresite Capital, OrbiMed, RTW Investments and Mingxin Capital.
The combined company’s cash at closing is expected to fund operations into 2029.
That runway is expected to support SLTE-1009 through a Phase 1 healthy-volunteer study and a Phase 2 dose-ranging trial in migraine patients while advancing the broader Slate pipeline.
Before closing, Fulcrum expects to declare a cash dividend to its existing shareholders equal to the amount by which its net cash exceeds $20.3 million.
The company currently estimates that dividend at approximately $270 million.
Fulcrum is expected to contribute approximately $20.3 million of net cash to the combined company.
Existing Fulcrum shareholders are expected to own approximately 5% of the combined company, while existing Slate shareholders, including investors participating in the financing, are expected to own about 95%.
The final ownership split remains subject to adjustment based on Fulcrum’s net cash at closing.
SLTE-1009 is designed to bind both pituitary adenylate cyclase-activating peptide and vasoactive intestinal peptide.
Slate believes blocking both neuropeptides could provide more complete neutralization of the PACAP/VIP pathway than therapies targeting PACAP alone.
The candidate has also been engineered for an extended half-life, potentially enabling quarterly subcutaneous administration.
SLTE-1009 has clearance to begin Phase 1 clinical development in Australia, with initial pharmacokinetic and safety data expected around mid-2027.
Slate is also developing SLTE-2100, a bispecific antibody targeting PACAP/VIP and CGRP.
That program is currently in lead optimization and is expected to enter clinical trials during the second half of 2027.
Slate also has an additional undisclosed migraine program.
Gregory Oakes will serve as CEO of the combined company.
Slate’s board will become the combined company’s board and is expected to include representatives with experience from RA Capital Management, Forbion, Foresite Capital and Verona Pharma.
The merger has received unanimous approval from both boards and is expected to close in the fourth quarter of 2026, subject to shareholder approvals and customary regulatory and closing conditions.
