GameSquare: Acquisition Of Creator Technology Platform TubeBuddy

GameSquare Holdings announced it has entered into an asset purchase agreement with BENlabs to acquire TubeBuddy, an AI-enabled software and workflow platform designed to help creators and brands optimize YouTube channel performance and accelerate audience growth.

The transaction adds a scaled creator technology layer to GameSquare’s platform, expanding its capabilities across content, community, data, and performance marketing. TubeBuddy provides search engine optimization, workflow, analytics, and productivity tools powered by proprietary AI. The platform has supported more than 10 million creators and also serves major media companies and global publishers.

Under the terms of the agreement, GameSquare will acquire the assets of the TubeBuddy business and issue 5 million shares of its newly designated Series A-2 Preferred Stock to BENlabs as consideration.

GameSquare said the addition of TubeBuddy enhances its technology stack, expands direct relationships with creators, and creates new opportunities for data-driven brand partnerships and monetization. The company expects the acquisition to increase recurring software and subscription revenue, strengthen first-party creator and channel data capabilities, and enable deeper cross-platform integrations across its media, esports, and creator network.

On a pro forma basis reflecting its plans for the TubeBuddy business, GameSquare introduced 2026 financial guidance, projecting revenue of $85 million to $90 million, gross margin of 35% to 40%, and adjusted EBITDA of over $5 million. The company noted that it does not provide a reconciliation of forward-looking adjusted EBITDA to GAAP net income because forecasting certain items that could materially impact results is difficult.
