Generate Capital is selling its entire Generate Upcycle anaerobic digestion platform through separate transactions with Pinta Energy and Vanguard Renewables, exiting a 12-facility portfolio spanning the U.K., Canada and United States. Financial terms were not disclosed.
Pinta Energy, part of Asterion Industrial Partners-backed ABIO Group, has acquired Generate Upcycle’s seven U.K. facilities.
Vanguard Renewables has agreed to acquire five North American facilities located in Ontario and upstate New York.
The North American transaction is expected to close on October 1, 2026.
Generate has invested in anaerobic digestion since 2016 and built Upcycle into a major organic waste processing and renewable energy platform across three countries.
The facilities process food and agricultural waste and convert it into renewable natural gas and electricity.
During 2025, Upcycle processed more than 871,000 tons of food and agricultural waste.
The platform generated more than 365,000 MWh of renewable energy, including 1.1 billion cubic feet of renewable natural gas.
Generate said the operations prevented approximately 609,739 metric tons of carbon dioxide-equivalent emissions from entering the atmosphere, an amount it compared with taking roughly 132,552 gasoline-powered passenger vehicles off the road for one year.
The sales place the assets with two strategic operators that can continue expanding the businesses in their respective markets.
For Generate, the divestiture provides an opportunity to recycle capital toward other infrastructure priorities.
The firm is increasingly focused on supplying reliable power to large energy users as constraints across power grids and rising electricity demand create new infrastructure investment opportunities.
