Gibraltar To Sell D.S. Brown To Saint-Gobain For $208 Million

Gibraltar Industries has agreed to sell its Infrastructure business, D.S. Brown, to Saint-Gobain for $208 million in cash as it continues to simplify its portfolio and focus resources on its building products and structures businesses.

The transaction is subject to customary post-closing adjustments and is expected to close during the fourth quarter of 2026 following required regulatory approvals and other customary conditions.

Gibraltar said the divestiture represents another step in narrowing its strategic focus toward the building products and structures end markets. The company expects the sale to be highly tax efficient and intends to use the proceeds to accelerate debt reduction and strengthen its balance sheet heading into 2027.

D.S. Brown operates as Gibraltar’s infrastructure business. Following the sale, Gibraltar will have a more concentrated portfolio centered on its remaining residential and agricultural technology operations, along with products and services tied to building and structural end markets.

Gibraltar develops and supplies engineered products and services across residential, agricultural technology, and infrastructure applications. Its broader strategy has involved reshaping its portfolio around markets where management believes it can generate stronger returns and allocate capital more effectively.

The company plans to update its 2026 financial outlook to reflect the D.S. Brown divestiture when it reports third-quarter results. The timing of that report will be announced separately.

Saint-Gobain’s acquisition of D.S. Brown also transfers an established infrastructure operation to a larger building materials and construction products organization while providing Gibraltar with $208 million of gross cash consideration before any applicable adjustments.

Moelis & Company is serving as Gibraltar’s exclusive financial advisor on the transaction, while Polsinelli is acting as legal counsel.

The transaction continues Gibraltar’s broader effort to simplify operations and improve its financial position. Management specifically identified debt reduction as the primary planned use for the proceeds, potentially giving the company additional balance-sheet flexibility as it enters 2027.
