Goldgroup Mining Announces Up To $75 Million Private Placement With $60 Million Already Committed

Goldgroup Mining has announced a non-brokered private placement of up to approximately US$75 million, with roughly US$60 million already committed by a group of natural resource investors.

The financing is expected to consist of up to approximately 20.55 million units priced at US$3.65 each. Goldgroup said it could increase the size of the offering depending on investor demand.

Committed investors include entities representing or affiliated with Trafigura, Eric Sprott, Rick Rule, Fiscal Wisdom, Calu Opportunity Fund and two additional institutional natural resource funds.

Each unit consists of one Goldgroup common share and one-half of a common share purchase warrant. Each whole warrant can be exercised at US$5.10 per share for 18 months following closing.

If all approximately 10.27 million warrants expected to be issued are exercised, Goldgroup could receive an additional US$52.4 million in gross proceeds.

Goldgroup plans to use the proceeds to strengthen its balance sheet and accelerate exploration, development and growth across its precious metals portfolio.

The company’s priorities include expanding exploration and resources, advancing the San Francisco Gold Project toward a potential restart, continuing exploration and resource-growth programs at the Don David Gold Mine, advancing development of the Back Forty Gold Project, and pursuing additional opportunities at Cerro Prieto and elsewhere.

Goldgroup also plans to continue evaluating property acquisitions and potential M&A transactions as part of its strategy to build a larger and more diversified intermediate precious metals producer.

The offering is expected to close on or around September 30, 2026, subject to regulatory approvals from the TSX Venture Exchange and NYSE American.

Goldgroup currently owns four mining and development assets across Mexico and the U.S. It operates the Don David Gold Mine in Oaxaca and Cerro Prieto Gold Mine in Sonora, while advancing the San Francisco Gold Project in Sonora and Back Forty Project in Michigan.
