Gossamer Bio has entered into a structured private placement expected to provide up to $250 million to support seralutinib through potential FDA approval for pulmonary arterial hypertension.
The financing includes $150 million of committed capital and the potential for another $100 million if FDA approval-related warrants are exercised.
Gossamer expects approximately $25 million to be funded at the initial closing.
Another approximately $125 million is committed to fund if the FDA accepts the company’s seralutinib new drug application for pulmonary arterial hypertension in 2026.
If that milestone occurs as planned, Gossamer expects to receive the full $150 million of committed capital during 2026.
At the second closing, participating investors will also receive warrants that become exercisable upon FDA approval of seralutinib.
If exercised fully for cash at $0.187 per share, those warrants would provide up to an additional $100 million.
Investors include EcoR1 Capital, 683 Capital Partners, RA Capital Management, Coastlands Capital, Samsara BioCapital and Rock Springs Capital, among others.
Gossamer recently reacquired worldwide rights to seralutinib and plans to submit an NDA in September 2026.
The company plans to use the financing and existing cash to advance seralutinib in pulmonary arterial hypertension and pulmonary hypertension associated with interstitial lung disease, as well as support potential commercialization and general corporate needs.
Gossamer expects the initial and committed second-closing capital, together with its existing resources, to fund operations into 2028.
