Green Canada Uranium Corp., formerly known as MAACKK Capital Corp., has completed its previously announced reverse takeover with Green Canada Corporation, along with approximately $2.92 million in concurrent financing and the acquisition of a 100% interest in the Marshall uranium project in Saskatchewan’s Athabasca Basin.
Concurrent with the reverse takeover, Green Canada closed a non-brokered private placement of 955,000 flow-through units and 3,201,392 charity flow-through units for gross proceeds of $991,348. Combined with other non-brokered private placements completed between January and June 2026, Green Canada raised $2.92 million through the concurrent financing.
The company also completed its acquisition of a 100% interest in the Marshall Project from Basin Energy Marshall and Basin Energy.
Consideration includes $600,000 in cash payable in four installments over three years, another $300,000 payable through shares and cash installments, and 6,376,066 Green Canada Uranium shares issued to Basin Energy, representing 9.99% of the company’s outstanding shares immediately following closing.
Green Canada has also committed to fund at least $1.5 million of exploration work at Marshall within 24 months.
The Marshall Project consists of seven mineral claims covering approximately 11,225 hectares in Saskatchewan’s Athabasca Basin.
Basin Energy retains a three-year right of first refusal on a sale of Marshall and a right to repurchase up to a 25% interest for $1 million, subject to certain timing and exploration expenditure conditions.
CanAlaska Uranium has been appointed operator of the project.
Green Canada also received a nine-month exclusivity right from CanAlaska and Basin Energy to conduct due diligence and negotiate a potential earn-in option for as much as a 51% interest in the North Millennium Project in the Athabasca Basin.
The company issued 600,000 shares to CanAlaska and 400,000 shares to Basin Energy in consideration for the exclusivity right.
Following completion of the transactions, Green Canada Uranium has 63,824,480 shares, 3,928,039 warrants and 2,950,000 options outstanding.
The company’s new board consists of Richard J. Mazur as Executive Chairman, Greg Ferron, Olivier Crottaz, Jean-David Moore and Peter Cheung. Ferron serves as President and CEO, while Cindy Davis serves as CFO.
The TSX Venture Exchange has conditionally accepted the transaction. Subject to issuance of the final exchange bulletin, Green Canada Uranium expects its shares to begin trading under the symbol GCUC on or around September 9, 2026.
