Hennessy Capital Investment VII: SPAC Deal To Take ONE Nuclear Energy Public

Hennessy Capital Investment Corp. VII and ONE Nuclear Energy LLC announced the filing of an amended registration statement on Form S-4 with the U.S. Securities and Exchange Commission, marking another step toward completing their previously announced business combination.

The updated filing includes a preliminary proxy statement and prospectus, along with refreshed disclosures reflecting recent developments in the proposed transaction. The companies also released an updated investor presentation outlining ONE Nuclear’s priority development sites, projected timelines, and unit economics.

The transaction, first announced in October 2025, is expected to result in ONE Nuclear becoming a publicly traded company on Nasdaq under the ticker symbol “ONEN,” subject to shareholder approval, SEC effectiveness, and other customary closing conditions.

The combined company is expected to receive up to approximately $210 million in gross proceeds, including anticipated PIPE financing and up to $195 million held in Hennessy VII’s trust account, before accounting for redemptions and transaction-related expenses. These funds are intended to support ONE Nuclear’s development pipeline and cover deal-related costs.

ONE Nuclear is focused on developing large-scale energy parks powered by a combination of natural gas and advanced nuclear small modular reactor technology. Its platform is designed to deliver reliable baseload power to energy-intensive customers such as data centers, industrial operators, and grid infrastructure.

Hennessy VII, a special purpose acquisition company, targets businesses in industrial technology and energy transition sectors, aligning with ONE Nuclear’s strategy to address growing global energy demand through scalable and lower-carbon solutions.

The completion of the transaction remains contingent on regulatory approvals and shareholder consent, and there can be no assurance that the deal will be finalized within the expected timeframe or at all.
