HUMAIN Invests $3 Billion In xAI Series E Ahead Of SpaceX Merger

HUMAIN, a Public Investment Fund-backed artificial intelligence company delivering full-stack AI capabilities globally, announced a $3 billion strategic investment in xAI as part of the company’s Series E financing round, just prior to xAI’s acquisition by SpaceX in early February.

The transaction represents a significant capital deployment for HUMAIN and aligns with its long-term investment strategy, which is focused on category-defining technology platforms. The investment was completed at a pivotal moment for xAI, immediately preceding its merger with SpaceX, one of the largest technology mergers on record.

As a result of the Series E transaction, HUMAIN became a significant minority shareholder in xAI, with its holdings subsequently converted into SpaceX shares following the acquisition. The structure provides HUMAIN with exposure to long-term equity upside tied to the combined platform’s future growth and technological integration.

The merger brings together xAI’s advanced artificial intelligence capabilities with SpaceX’s scale, infrastructure, and engineering depth, creating a platform positioned for accelerated growth and deep integration across AI and aerospace technologies.

HUMAIN said its participation in the round reinforces its role as a scaled, long-term strategic investor capable of supporting companies across multiple stages of growth. The company delivers AI capabilities across four core areas: next-generation data centers; high-performance infrastructure and cloud platforms; advanced AI models; and transformative AI solutions.

The investment builds on a previously announced partnership between HUMAIN and xAI unveiled in November 2025 at the U.S.-Saudi Investment Forum. Under that agreement, the two companies committed to jointly develop more than 500MW of next-generation AI data center and compute infrastructure and to deploy xAI’s Grok models in Saudi Arabia. The collaboration deepens HUMAIN’s strategic alignment with xAI and extends its position from development partner to major global shareholder in the AI company.

Looking ahead, HUMAIN said it plans to pursue additional investments across artificial intelligence, frontier technologies, and critical infrastructure as part of its broader growth strategy.
