Icertis Acquires Dioptra To Accelerate AI First Contracting Capabilities

By Amit Chowdhry • Nov 20, 2025

Icertis has acquired Dioptra in a move that significantly expands its AI-driven capabilities for enterprise contracting and advances its long-term strategy to create a fully autonomous contracting ecosystem. The transaction strengthens Icertis’ position as a leader in the contract lifecycle management market. It deepens the capabilities of its Icertis Contract Intelligence platform following the introduction of its AI framework, Vera.

The acquisition arrives as enterprise leaders grow increasingly comfortable with AI-powered contract processes. Survey data shows that more than 80% of C-suite executives are ready to allow AI agents to support contract negotiations. Icertis believes the combination of its contract data foundation with Dioptra’s precision AI tools positions the company to meet this accelerating demand.

Dioptra’s technology, including surgical redlining and automated playbook creation, will integrate directly into the Icertis platform to accelerate speed, improve accuracy, and enable data-driven decision-making across contract operations. The joint offering advances the company’s vision of every contract interaction being powered by intelligent, context-aware AI.

Icertis highlights that contract data was historically scattered across an average of 24 different systems. Its unified platform centralizes contracts and applies AI to streamline creation, negotiation, and performance management for customers worldwide. Dioptra complements this approach with pre-signature agents that automatically generate negotiation playbooks from existing agreements and conduct first-line reviews of new contracts.

The combined technology aims to move enterprises closer to fully autonomous contracting, enabling agreements to perform as intended with minimal manual intervention while allowing legal teams to focus on higher-value strategy. Dioptra’s legal-centric tools strengthen the Icertis roadmap as the two teams merge product and engineering capabilities to design the next generation of contract intelligence solutions.

Founded by industry veterans from Spotify, IBM Watson, Yahoo, and Columbia University, Dioptra expands Icertis’ talent pool with deep technical and legal expertise. Their capabilities are expected to advance key functions for Icertis customers, including AI-assisted playbook development, risk review, automated clause insertion, and more efficient redlining aligned to organizational standards.

Icertis continues to broaden its AI footprint through ongoing partnerships with major technology providers such as SAP and Microsoft. With a customer base that includes more than one-third of the Fortune 100, the company is investing in long-term innovation to create contract-specific AI that reflects the intention of business agreements at scale.
