Innovent Biologics: Up To $10.5 Billion Oncology Collaboration With Pfizer

Innovent Biologics announced a global strategic licensing and collaboration agreement with Pfizer focused on the research and development of 12 early-stage and de novo oncology programs, creating one of the largest oncology partnerships announced this year. The deal combines Innovent’s oncology discovery and early clinical development capabilities with Pfizer’s global development, regulatory, and commercialization expertise.

The collaboration covers a portfolio of 12 programs, including eight Innovent-originated early-stage assets and four Pfizer-proposed discovery programs. The portfolio spans antibody-drug conjugates (ADCs) featuring novel payload technologies and multi-specific antibodies designed with differentiated immune-engaging mechanisms.

Under the agreement, Innovent will lead development of the programs through Phase 1 clinical trials, leveraging its proprietary discovery platform and early-stage clinical development infrastructure. Following Phase 1, Pfizer will assume leadership of global development activities.

The partnership includes three distinct development and commercialization structures:

  1. Four programs will be co-developed globally, with both companies sharing development costs. The companies will co-commercialize these assets in the United States and Europe and share profits, while Innovent will retain rights in Greater China.
  2. Four programs will be licensed exclusively to Pfizer outside Greater China, with Pfizer assuming the majority of development expenses.
  3. Four programs will receive exclusive global licenses from Innovent to Pfizer, with Pfizer responsible for all global development costs.

Under the financial terms of the agreement, Innovent will receive a $650 million upfront payment and could earn up to $9.85 billion in development, regulatory, and commercial milestone payments. The transaction therefore carries a potential total value of up to $10.5 billion. Innovent is also eligible to receive royalties reaching double-digit percentages on approved licensed products. For co-developed and co-commercialized programs, the companies will share profits generated in the United States and Europe.

The transaction remains subject to customary regulatory approvals and closing conditions.

Founded in 2011, Innovent has developed a portfolio of 18 commercialized products and maintains a pipeline that includes five Phase III or pivotal-stage assets and 14 additional molecules in early clinical development. The company has established partnerships with more than 30 global healthcare organizations.
