Inturai Ventures has completed its acquisition of the intellectual property behind DomeCommand, an AI-driven command-and-control platform designed for autonomous drone swarms.
The transaction also gives Inturai a perpetual, worldwide and royalty-free license to the Distri software underlying the platform.
Total consideration can reach C$6.025 million.
The structure consists of C$25,000 in upfront cash and as many as 30 million Inturai common shares valued at a deemed C$0.20 per share.
At closing, Inturai issued 10 million initial consideration shares.
Five million of those shares will vest 12 months after issuance, while the remaining 5 million will vest after 24 months.
Another 20 million shares are performance-based.
Ten million shares become issuable if DomeCommand generates at least $1 million of cumulative revenue or if Inturai shares trade at C$0.40 or above.
A further 10 million shares become issuable if the acquired assets generate $3 million in cumulative revenue or Inturai shares reach at least C$0.60.
The structure therefore ties a substantial portion of the purchase consideration either to commercial performance or appreciation in Inturai’s public equity valuation.
DomeCommand expands Inturai’s exposure to defense and autonomous systems by adding technology intended to coordinate multiple unmanned aerial vehicles through an AI-enabled command-and-control framework.
The acquisition follows previously announced steps in July and August toward completing the transaction.
Inturai’s broader strategy focuses on intelligent environments using artificial intelligence technologies across military, healthcare, smart home and industrial applications.
By adding DomeCommand, the company gains a dedicated autonomous swarm capability that can potentially complement its broader sensing and AI infrastructure.
The acquisition consideration is capped at C$6.025 million, with most of the value tied to equity and performance milestones rather than upfront cash.
