IonQ has completed its acquisition of SkyWater Technology, bringing semiconductor design, fabrication, advanced packaging and quantum technology development together within one company.
SkyWater is the largest semiconductor foundry based exclusively in the United States and will continue serving its commercial and government customers as an IonQ subsidiary.
The acquisition is intended to create a vertically integrated platform spanning quantum computing, networking, security, sensing, chip production and advanced packaging.
SkyWater will continue operating under its existing name. CEO Thomas Sonderman will lead the subsidiary and report to IonQ Chairman and CEO Niccolo de Masi.
The company will continue providing Advanced Technology, Wafer and Advanced Packaging Services, along with atomic clocks and quantum interconnect technologies.
Under the transaction terms, SkyWater shareholders received $15 in cash and 0.4883 shares of IonQ common stock for each SkyWater share held at closing.
The transaction closed after receiving the required regulatory approvals.
IonQ expects the acquisition to accelerate its fault-tolerant quantum computing roadmap and provide a scalable domestic supply chain for semiconductor-based quantum systems.
The combination also gives IonQ greater control over chip design, fabrication, packaging and manufacturing for applications operating across land, sea, air and space.
SkyWater maintains facilities in Minnesota, Florida and Texas and holds accreditation as a Category 1A Trusted Foundry through the U.S. Department of Defense’s Trusted Foundry Program.
