Jabil announced that it has signed a definitive agreement to acquire Hanley Energy Group, a provider of energy management and critical power solutions for data center infrastructure, in an all-cash deal valued at approximately $725 million with an additional $58 million in potential contingent consideration based on future revenue performance. The transaction is expected to close in the first quarter of 2026, pending regulatory approvals and customary closing conditions.
Hanley Energy Group is projected to generate first-year annualized revenue between $350 million and $400 million, supported by mid-to-high-teens EBITDA margins and sustained double-digit revenue growth. The company brings expertise in designing, deploying, and supporting mission-critical power and energy optimization systems across data center environments. Its capabilities span grid-level integration through to power distribution inside hyperscale data centers.
The acquisition aligns with Jabil’s efforts to deepen its role in the rapidly expanding global data center market, which is being driven by increasing demand for AI workloads and large-scale computing infrastructure. Jabil currently provides a range of power management systems, including switchgear, PDUs, and UPS systems. The addition of Hanley Energy Group expands its scope to include turnkey deployment, commissioning, and lifecycle service capabilities.
The combined offerings are expected to strengthen Jabil’s position as an integrated partner for hyperscale, co-location, and digital-native data center customers seeking scalable and energy-efficient infrastructure solutions. Jabil stated that the acquisition enhances its capability to design, manufacture, deploy, and service critical power systems across global data center environments.
