Johnson & Johnson has entered into strategic agreements with Sail Biomedicines to develop in vivo CAR-T therapies for immune-mediated diseases and has secured an exclusive option to acquire Sail for $2.58 billion. And Johnson & Johnson will collaborate with Sail on the biotechnology company’s lead immune-mediated disease program and its broader platform. The partnership includes incentives to expand Sail’s technology into additional therapeutic targets.
Sail’s in vivo CAR-T platform is designed to reprogram immune cells directly inside a patient’s body. This differs from traditional CAR-T approaches that require cells to be removed, genetically modified and infused back into the patient.
The companies believe the technology could create more scalable treatments capable of resetting the immune system and producing durable disease control for people with autoimmune and other immune-mediated conditions.
Johnson & Johnson will make total initial payments of $785 million, including a $465 million equity investment in Sail. The agreement also includes up to $140 million in additional payments tied to development milestones.
Johnson & Johnson would pay another $2.58 billion upon exercising its acquisition option. Assuming the option is exercised, the company expects the agreements to reduce adjusted operational earnings per share and adjusted earnings per share by approximately $0.18 in 2026 and approximately $1.28 in 2027.
The collaboration expands Johnson & Johnson’s CAR-T capabilities beyond oncology and strengthens its position in immune-system reprogramming and immune-reset technologies.
The transactions remain subject to regulatory approvals and other customary conditions.
