Lilly: Up To $780 Million Acquisition Of LimmaTech Biologics Advances Next-Generation Bacterial Vaccines

LimmaTech Biologics AG announced that it has entered into a definitive agreement to be acquired by Eli Lilly and Company in a deal valued at up to $780 million in cash, including an upfront payment and additional milestone-based payments tied to clinical and regulatory achievements.

LimmaTech is a clinical-stage biotech company focused on developing vaccines designed to prevent life-threatening bacterial infections that are becoming increasingly difficult to treat due to rising antimicrobial resistance. The company’s proprietary self-adjuvanting and multi-antigen vaccine platform is designed to create broad and durable immune responses by targeting toxins and superantigens associated with bacterial disease rather than focusing solely on surface antigens.

The acquisition strengthens Lilly’s vaccine and infectious disease pipeline as the pharmaceutical giant seeks to expand into next-generation prevention technologies targeting serious bacterial pathogens. LimmaTech’s lead program, LTB-SA7, is currently in Phase 1 development as a vaccine candidate against Staphylococcus aureus, the leading cause of surgical-site infections globally.

Beyond its lead program, LimmaTech is also developing vaccine candidates targeting Neisseria gonorrhoeae and Chlamydia trachomatis. The company said these infections can lead to severe long-term health complications, including infertility, with disproportionate impacts on women. The broader pipeline reflects growing industry interest in vaccine-based prevention strategies as antimicrobial resistance continues to reduce the effectiveness of traditional treatments.

Lilly executives highlighted the scientific rationale behind LimmaTech’s approach, particularly its strategy of targeting bacterial toxins and superantigens. The companies believe this differentiated approach may provide a more effective pathway to preventing infections that have historically been difficult to address with vaccines.

LimmaTech has been backed by healthcare-focused investors, including Adjuvant Capital, BNP Paribas Asset Management Alts, Novo Holdings REPAIR Impact Fund, and Tenmile. The company said the transaction positions its technology platform and development programs for accelerated global advancement through Lilly’s manufacturing scale and development infrastructure.
