Linkage Global Terminates Proposed Strategic Investment Of Up To $20 Million From Capital Finance

Linkage Global has terminated its non-binding letter of intent with Capital Finance Limited covering a proposed strategic equity investment of up to $20 million. The termination became effective September 28, 2026.

The original non-binding term sheet was dated September 12 and was subsequently amended through an addendum dated September 14.

Linkage Global delivered written notice terminating the agreement on September 28, and Capital Finance acknowledged and agreed to the termination.

The companies will not proceed with the proposed transaction.

No definitive securities purchase agreement was executed, no securities were issued and Linkage Global did not receive funds in connection with the proposed investment.

Except for provisions specifically designed to survive termination, the letter of intent ceased to have effect on September 28.

The agreement’s confidentiality obligations will remain in place for three years after termination.

Linkage Global said the termination does not affect rights or remedies that may have accrued before the termination date.

The company plans to remain focused on its core business and continue evaluating strategic and financing opportunities that it believes could support its development and shareholders.

Linkage Global is developing AI-enabled wellness infrastructure through its Human Resonance OS, which combines neural acoustic algorithms, wellness audio intellectual property and smart wearable technologies.
