LivePerson stockholders have approved the company’s proposed acquisition by SoundHound AI, moving the conversational AI combination closer to completion.
LivePerson announced that shareholders voted in favor of the transaction during a special meeting of stockholders.
The transaction is expected to close on September 4, 2026, subject to the satisfaction or waiver of customary closing conditions.
LivePerson plans to report the final certified voting results from the special meeting in a Form 8-K filed with the U.S. Securities and Exchange Commission.
LivePerson provides enterprise conversational AI through its Conversational Cloud and Syntrix platforms.
The company said its technology powers nearly one billion messages per month and provides data analytics, agent training and AI evaluation capabilities.
The combination with SoundHound AI is intended to strengthen the companies’ position in conversational AI and expand their ability to serve customers and partners at scale.
