Check-Cap Ltd., which operates under the MBody AI brand and trades on Nasdaq under the ticker MBAI, has priced a $10 million public offering of ordinary shares to support its embodied artificial intelligence business.
The company is offering 1,538,462 ordinary shares at a public offering price of $6.50 per share. The gross proceeds are expected to total approximately $10 million before underwriting discounts, commissions and other estimated offering expenses.
Check-Cap has also granted the underwriter a 30-day option to purchase up to an additional 230,769 ordinary shares at the same public offering price, less underwriting discounts and commissions.
If that option is exercised in full, it would provide approximately $1.5 million in additional gross proceeds. The offering is expected to close on or about August 27, 2026, subject to customary closing conditions.
The securities are being offered pursuant to a Form F-1 registration statement previously filed with the U.S. Securities and Exchange Commission and effective on August 25, 2026.
MBody AI is focused on enterprise robotics and embodied artificial intelligence. The company operates a hardware-agnostic platform that deploys and manages autonomous robot workforces for hospitality and gaming operators.
Its proprietary MBody AI Orchestrator coordinates different robot fleets across multiple locations and use cases.
The platform is intended to give enterprise customers a centralized operating layer for managing autonomous robotics without being tied to a single hardware manufacturer.
MBody AI provides its technology through long-term subscription agreements.
The company said its customer base includes Fortune 500 operators.
The new financing provides additional capital as MBody AI works to expand adoption of its robotics orchestration platform and build out its position in the growing enterprise autonomous robotics market.
