MicroVision Prices $17 Million Public Offering To Fund Working Capital And Capital Expenditures

MicroVision has priced a $17 million public offering as the lidar and perception technology company raises additional capital to support working capital, capital expenditures and other general corporate purposes while continuing to advance its technology toward broader commercial deployment.

The company is offering 6.8 million units at a public offering price of $2.50 per unit. Each unit consists of one share of MicroVision common stock and one warrant giving the holder the right to purchase an additional share of common stock.

The warrants will be immediately exercisable at a price of $2.50 per share and will expire five years following their issuance. This structure gives investors exposure to MicroVision’s common stock through the initial offering while also providing the opportunity to acquire additional shares in the future if the company’s stock price rises above the warrant exercise price.

Gross proceeds from the offering are expected to total approximately $17 million before deducting placement agent fees and other expenses associated with the transaction. WestPark Capital is serving as the exclusive placement agent for the offering.

MicroVision develops lidar-based perception technologies for applications spanning industrial markets, security and defense and the automotive sector. The company has built a portfolio that combines lidar hardware, perception software and sensor architectures designed to address a variety of operating environments and deployment requirements.

Lidar systems use laser-based sensing to measure distances and create detailed representations of surrounding environments. The technology can be used to help machines, vehicles and other systems identify objects, determine their locations and understand what is happening around them in real time.

MicroVision’s technology portfolio includes both short-range and long-range lidar solutions, allowing the company to pursue applications that require different sensing distances and fields of view. Capital expenditures may also become increasingly important as lidar companies prepare products for production and deployment. Moving a sensor platform toward commercialization can involve investments in equipment, testing infrastructure, manufacturing processes, supply-chain development and product qualification.

Working capital from the offering gives MicroVision additional financial flexibility to support those activities while continuing to pursue potential customer programs. The company can also use proceeds for other general corporate purposes as it balances technology development with the operational requirements associated with commercialization.

If investors ultimately exercise the warrants included in the offering, MicroVision could receive additional capital in the future. Those proceeds would depend on warrant exercises and therefore are not included in the approximately $17 million of expected gross proceeds from the initial sale of the units.

The five-year life of the warrants gives investors a relatively long period in which they may choose to exercise them, subject to the terms of the securities. From MicroVision’s perspective, the warrants create the possibility of an additional source of equity capital if the company’s share price and commercial progress make exercise attractive to holders.

The financing comes at an important stage for MicroVision as the company seeks to translate years of lidar and perception technology development into larger commercial programs. Successful deployment will depend not only on sensor performance but also on the company’s ability to meet customer requirements around reliability, manufacturing, integration, cost and long-term support.

With the approximately $17 million public offering, MicroVision is adding resources that can support continued product development and commercialization efforts across its automotive, industrial, security and defense markets as the company works to expand the real-world deployment of its lidar and perception technologies.
