Missoni: Italian Luxury Fashion House Sees Ownership Shift As FSI Takes Control And Katjes Quiet Luxury Acquires Stake

The Italian luxury fashion house Missoni is undergoing a significant ownership transition as Italian investment firm FSI moves to become the majority shareholder while Katjes Quiet Luxury acquires a strategic minority stake.

Katjes International announced that it has signed an agreement, through its wholly owned subsidiary Katjes Quiet Luxury, to acquire approximately 27% of the shares in Missoni S.p.A. The remaining shares will be held by FSI, which is currently a minority shareholder but will fully acquire the shares previously owned by the Missoni family as part of the transaction.

The move represents a major step in the evolution of the iconic Italian fashion brand, which has long been associated with the founding family and is widely recognized for its signature zigzag designs and premium lifestyle products.

Katjes Quiet Luxury said the investment strengthens its portfolio of established European consumer brands. The transaction follows the group’s earlier acquisition of Bogner and continues its strategy of investing in well-known heritage brands in the luxury and consumer goods sectors.

Under the agreement, Katjes Quiet Luxury will also receive tag-along rights and a call option on FSI’s shares, potentially allowing it to become the majority shareholder in the future. FSI will retain standard drag-along rights as the controlling shareholder.

The closing of the transaction is subject to regulatory approvals, including antitrust clearance, and is expected to occur in the second quarter of 2026.

Katjes International stated that the purchase price will be financed primarily through its own funds. The company also expanded its corporate bond by an additional €15 million, bringing the total bond volume to €200 million to support financing activities.

Missoni, founded in 1953, is globally recognized for its high-end fashion and lifestyle offerings, including ready-to-wear collections, swimwear, and home products. The brand has established a strong presence in the international luxury market and remains closely associated with Italian craftsmanship and design heritage.

Katjes International said it expects revenues and earnings for the 2025 financial year to come in significantly above its previously published guidance as the group continues to expand its portfolio of consumer brands.
