Nano Dimension: $12.5 Million Sale Of AME And Fabrica Product Lines To Inspira Technologies

Nano Dimension Ltd. announced that it has agreed to sell its additively manufactured electronics (AME) product line and its previously discontinued Fabrica product line to Inspira Technologies OXY B.H.N. Ltd. for total consideration of up to $12.5 million.

The transaction includes a $2.0 million upfront cash payment and up to $10.5 million in deferred payments tied to the future performance of the product lines over the next twelve months. Inspira has already assumed operational control of the assets, with the deal expected to close following customary regulatory approvals.

Nano Dimension Ltd. said the divestiture is part of its broader strategic alternatives review process aimed at maximizing shareholder value. The company determined that the AME and Fabrica product lines were not aligned with its forward-looking priorities after a comprehensive evaluation of its asset base.

The company expects the sale to reduce its annualized cash burn by approximately $10 million, while also simplifying operations and strengthening its liquidity and financial flexibility. Nano Dimension indicated that the move will allow it to focus more closely on key strategic initiatives as it continues evaluating additional options.

The company added that it plans to provide an update to its 2026 financial guidance during its first quarter 2026 earnings call.
