NANO Nuclear: $13 Million STS Acquisition Establishes Integrated Nuclear Fuel Logistics Platform

NANO Nuclear Energy announced the acquisition of Secured Transportation Services (STS), a specialized nuclear logistics and transportation company, in a deal valued at up to $13 million. The acquisition is designed to strengthen NANO Nuclear’s position as a vertically integrated advanced nuclear energy company by adding fuel transportation and deployment capabilities to its growing microreactor business.

Founded in 2005, STS specializes in the secure transportation of radioactive and nuclear materials and has completed projects in more than 40 countries. The company also holds approvals covering more than 90% of the active U.S. Nuclear Regulatory Commission-approved spent fuel routes in the United States. Through the acquisition, NANO Nuclear gains operational expertise in nuclear logistics, regulatory compliance, fuel transportation, deployment planning, and reactor installation support.

NANO Nuclear said the acquisition addresses one of the most significant bottlenecks facing advanced nuclear deployment, the transportation and handling of nuclear fuel, including HALEU fuel and spent nuclear material. By integrating STS into its operations, the company aims to reduce reliance on third-party transportation providers while improving deployment timelines and operational coordination for future microreactor projects.

The company noted that the transaction positions it among a select group of revenue-generating microreactor developers. For the twelve months ended December 31, 2025, STS generated approximately $7.1 million in audited revenue and approximately $1.3 million in net income.

NANO Nuclear said the acquisition aligns with its strategy to build an end-to-end nuclear infrastructure platform covering reactor design, fuel sourcing, fuel transportation, deployment, and long-term operational support. The company believes integrated transportation capabilities will become increasingly important as demand for microreactors grows across defense, industrial, data center, remote power, and international markets.

The acquisition was completed through NANO Nuclear subsidiary Advanced Fuel Transportation Inc. The purchase consideration includes $6 million in cash paid at closing, subject to adjustments, and $7 million in restricted NANO Nuclear shares payable in installments, with a portion tied to contractual contingencies.

NANO Nuclear develops advanced micro modular reactor technologies, including the KRONOS MMR™ Energy System, ZEUS™, and the space-focused LOKI MMR™ platform. The company is also expanding into nuclear fuel supply chain services, transportation solutions, and space-related nuclear applications.
