Brazilian cosmetics company Natura announced a governance overhaul alongside a new investment from Advent International, which has committed to acquire a minority stake of between 8% and 10% through purchases of outstanding shares over time.
The investment will be executed in the market at an average target price, with the transaction expected to take place over a period of up to six months. As part of the agreement, Advent will gain the right to appoint two members to Natura’s board once the stake is reached.
The changes come as Natura completes a broader capital structure reorganization and corporate streamlining phase, positioning the company for a new cycle of growth focused on Latin America, where it maintains a leading position in beauty and personal care.
In parallel with the investment, Natura’s founders, Luiz Seabra, Guilherme Leal, and Pedro Passos, will step down from the board of directors and transition to a newly created advisory board with no decision-making authority. Former chairman and CEO Fábio Barbosa will also step down and join the advisory board.
Alessandro Carlucci has been nominated as the new chairman of the board, bringing more than two decades of experience with the company. The board will also be refreshed with five new members as part of the governance transition, while CEO João Paulo Ferreira and executive Duda Kertesz will remain on the board.
The founders have signed a new 10-year shareholders’ agreement, maintaining their ownership stakes and reaffirming their long-term commitment to Natura as the company enters its next phase of expansion.
