NexTel Medical Acquires JumpstartRx And NueVistraMed To Expand Telehealth Platform And Accelerate Maxasome Commercialization

NexTel Medical Corp. (formerly Exousia Pro, Inc.) announced that it has executed definitive purchase agreements to acquire telehealth and clinical solutions companies JumpstartRx and NueVistraMed. The transactions represent a significant step in NexTel’s growth strategy as the company seeks to expand its healthcare services footprint while creating a broader commercialization pathway for its proprietary exosome-based technologies.

The acquisitions are expected to add approximately $135,000 in monthly recurring revenue to NexTel’s portfolio immediately upon closing, with management anticipating additional revenue growth from new clinical initiatives launching later this year. The company also views the acquisitions as strategically important for the future rollout of its Maxasome product line, which is based on NexTel’s proprietary exosome delivery platform.

Under the terms of the definitive agreements, NexTel will acquire both companies for a total purchase price of $8 million, consisting of $2 million in cash and $6 million in preferred stock. The agreements also include a $1 million performance-based bonus tied to specific revenue milestones and contain claw-back provisions designed to protect shareholder interests if operational targets are not achieved.

NexTel stated that the transaction is intended to be non-dilutive for existing shareholders. The company plans to use proceeds from its LMMY share holdings to fund the acquisition, avoiding the issuance of additional common shares. Closing is expected within 60 to 75 days, subject to customary conditions, including the delivery of audited financial statements for JumpstartRx and NueVistraMed.

Management believes the acquisitions provide a scalable platform for future growth. Beyond the existing revenue base, the combined operations are expected to generate additional recurring revenue from high-margin injectable therapies and nationwide testosterone prescription programs. NexTel noted that the integrated network includes more than 1,500 online clinics and 350 physical medical facilities, creating a substantial distribution infrastructure for future products and services.

The company believes this network will play a key role in the commercialization of Maxasome, providing direct access to healthcare providers and patients across a broad geographic footprint. NexTel expects the acquired businesses’ established clinical relationships and operational infrastructure to support the introduction of new exosome-based therapies and wellness solutions.

JumpstartRx operates as a direct-to-consumer telehealth platform that works with employers, organizations, and affinity groups. The company focuses on providing affordable access to wellness medications while helping organizations improve workforce health outcomes and reduce healthcare-related costs. Its platform emphasizes streamlined access to medications and pharmaceutical savings programs.

NueVistraMed operates a healthcare ecosystem that serves more than 1,850 digital and physical clinics. The company offers purchasing advantages, pharmaceutical access, medical supplies, payment processing services, and employee benefit solutions to healthcare providers. NueVistraMed also maintains manufacturing relationships designed to support the production and distribution of wellness therapies, including testosterone treatments.
