NIIT Learning Systems Acquires Bluewater Learning For Up To $17.6 Million

NIIT Learning Systems has acquired Bluewater Learning for total consideration of up to $17.6 million, expanding its capabilities across learning technology, human capital management platforms, consulting, integration, and managed services.

The acquisition was completed through NIIT Learning’s wholly owned subsidiary, NIIT USA, and includes performance-based earnouts over the next five years along with customary adjustments.

Founded in 2003 and headquartered in Plano, Texas, Bluewater helps enterprises connect workforce capabilities, learning systems, and technology investments with business priorities. The company has served more than 1,100 clients and completed over 5,000 learning and talent projects.

Bluewater brings strategic advisory, implementation, integration, and ongoing operational expertise. Its technology partnerships include Cornerstone and Docebo, while NIIT Learning also works with Workday, SuccessFactors, Sana Labs, Degreed, Litmos, Adobe Learning, and other platforms.

Together, the companies will have approximately 210 certified HCM consulting and implementation professionals holding more than 1,000 certifications across multiple systems.

NIIT said the acquisition strengthens its ability to help large enterprises transform learning and talent operations as AI changes workforce requirements, job roles, skills, and the technology infrastructure supporting employee development.

The combined organization plans to provide strategic advisory services, platform implementation and optimization, API-led integrations, data orchestration, and ongoing managed services. NIIT is positioning the offering around a “Transform and Operate” model for AI-enabled learning and development.

The transaction also expands NIIT’s ability to connect business strategy, workforce capabilities, enterprise HCM systems, and learning data while providing global delivery capacity.

Bluewater’s existing customer relationships and specialist HCM expertise will be combined with NIIT Learning’s global managed learning services footprint across more than 40 countries, giving the combined platform greater scale in enterprise talent transformation.
