Noah Holdings has appointed Tianjing Zhang as an independent director while restructuring several board committees as the wealth and asset management company expands its international governance capabilities. Zhang’s appointment becomes effective August 29, 2026.
Cynthia Jinhong Meng is retiring as an independent director following three years of service. Noah said Meng’s departure did not result from a disagreement with the company.
Noah has also re-designated David Zhang as an independent director under Hong Kong Stock Exchange rules.
David Zhang has served as an independent director under applicable U.S. regulations since June 2024. Noah’s Corporate Governance and Nominating Committee reviewed his status after more than two and a half years had passed since his January 2024 retirement from Kirkland & Ellis.
The company said his expertise in cross-border securities offerings, U.S. and Hong Kong capital markets and governance of dual-listed companies will support board oversight.
Tianjing Zhang brings nearly two decades of experience spanning cross-border disputes, investigations, compliance, crisis management and international legal risk.
She has served as Head of International Business at HOZU Capital since May 2025. Before that, she spent more than 13 years at Kirkland & Ellis International and served as Managing Partner and Chief Representative of its Shanghai office.
Noah is also reorganizing its Audit, Compensation and Corporate Governance and Nominating committees following the changes.
The governance appointments come as Noah continues operating a sizeable wealth and asset management platform. During the first half of 2026, the company distributed RMB40.4 billion, or approximately $6 billion, of investment products.
Through Gopher Asset Management and Olive Asset Management, Noah had RMB140.9 billion, or approximately $20.8 billion, of assets under management as of June 30. The company also had 469,987 registered clients.
KEY QUOTE:
“These changes strengthen the Board’s legal, regulatory, capital markets and corporate governance expertise, broaden its diversity of perspectives and reinforce our commitment to the highest standards of corporate governance.”
