Norm Law Adds Ben Nager, Shelley Azizi, And Jack McCann As Norm Ai Client AUM Tops $35 Trillion

Norm Law has expanded its Private Funds practice with the addition of an established Blue Sky securities filings team from Sidley Austin, adding Ben Nager as Partner, Shelley Azizi as Counsel and John “Jack” McCann as a paralegal.

Nager will lead Norm Law’s Blue Sky filings and state securities regulatory capabilities.

The three-person team brings experience managing federal and state securities filings for institutional investment funds across all 50 states.

The lateral additions also highlight Norm Law’s model of combining traditional legal expertise with technology developed by Norm Ai.

Norm Ai has built software incorporating jurisdiction-specific securities requirements, filing deadlines, fees and other regulatory rules into a centralized workflow.

The system organizes fund and investor information, identifies upcoming requirements, flags missing or inconsistent information and gives clients visibility into filing status.

Attorneys remain responsible for interpreting the applicable law, addressing legal questions and completing filings with state and federal regulators.

Nager brings nearly 30 years of experience advising investment banks and fund managers.

His work includes Form D and state notice filings for hedge funds, commodity pools and private equity funds, along with large 50-state remediation projects and FINRA approval work involving hundreds of offerings by REITs, SPACs, banks and other issuers.

Azizi brings approximately 20 years of experience advising pooled investment vehicles, including hedge funds, private equity funds and REITs, with particular experience involving Regulation D.

Norm Ai’s technology is used by clients representing more than $35 trillion in combined assets under management.

The company has raised more than $260 million from investors including Khosla Ventures, Craft Ventures, Bain Capital Ventures, Coatue, Blackstone, Vanguard, Citi and New York Life.
