NorthStar Earth & Space has completed its previously announced business combination with Viking Acquisition Corp. I, creating a publicly traded space intelligence company valued at an equity value of $300 million.
The combined company will operate as NorthStar Earth & Space Enterprises.
NorthStar’s common shares and public warrants are scheduled to begin trading on NYSE American on October 2, 2026, under the symbols NSTR and NSTR.WS, respectively.
The transaction includes a $30 million common-stock PIPE financing anchored by Cartesian Capital Group and supported by Canadian and U.S. institutional investors.
NorthStar plans to use proceeds from the financing to accelerate deployment of its dedicated space-based sensor constellation.
The company’s space-based sensors are combined with ground-based optical systems to provide Space Domain Awareness and Space Situational Awareness services for defense and commercial customers.
NorthStar’s Si² platform combines multiple streams of observation data to create a real-time view of activity in Earth’s orbital environment.
The system is designed to detect, track and characterize objects and potential threats and provide operational intelligence to customers.
NorthStar’s customers include the Royal Canadian Armed Forces’ 3 Canadian Space Division, the U.S. Space Force’s Joint Commercial Operations Cell, DARPA, the Luxembourg Space Agency and the European Space Agency.
The SEC declared the registration statement for the transaction effective, and shareholders of NorthStar and Viking approved the combination at meetings held September 2.
Cohen & Company Capital Markets served as exclusive financial adviser, lead capital markets adviser and sole placement agent to NorthStar. Greenberg Traurig served as NorthStar’s legal counsel.
KingsRock Advisors served as Viking’s exclusive financial adviser, while Nelson Mullins Riley & Scarborough served as Viking’s legal counsel.
