Nscale Acquires American Intelligence & Power To Build Full-Stack Hyperscaler

Nscale announced it has signed an agreement to acquire American Intelligence & Power Corporation (AIPCorp), a move that positions the company as a vertically integrated AI infrastructure provider spanning energy generation to compute. The deal includes the Monarch Compute Campus in Mason County, West Virginia, and marks a major expansion of Nscale’s footprint in the United States.

The Monarch Compute Campus is a 2,250-acre site designed to support large-scale AI workloads and is described as the first state-certified AI microgrid in the U.S. The site is expected to deliver an initial 2 gigawatts of power capacity by the first half of 2028, with plans to scale to approximately 8 gigawatts by 2031. The integrated microgrid is intended to address one of the primary bottlenecks in AI infrastructure development: access to reliable, large-scale energy.

As part of the transaction, Nscale will launch a new division, Nscale Energy & Power, headquartered in Houston, Texas. The division will focus on integrating power generation with compute infrastructure, enabling the company to build and operate large AI factories capable of supporting enterprise-scale training, fine-tuning, and inference workloads.

The acquisition also brings AIPCorp’s leadership and team into Nscale, adding nearly a decade of experience in AI infrastructure and energy development. This team will play a key role in developing the Monarch Compute Campus and supporting Nscale’s broader global expansion strategy.

Nscale said the transaction aligns with its strategy to build a global hyperscaler purpose-built for AI, leveraging vertically integrated infrastructure and modular data center design across North America and Europe.

Support: Financial advisory for Nscale was provided by Morgan Stanley, with legal counsel from Latham & Watkins. AIPCorp was advised by Greenhill, a Mizuho affiliate, with Vinson & Elkins serving as legal counsel to Fidelis New Energy.

KEY QUOTES:

“Nscale is a global company, and the US is the world’s largest AI infrastructure market. AI infrastructure needs to be built where demand is, and right now a significant share of that demand is in the United States. Monarch allows us to meet that demand. The acquisition builds on our existing US footprint and reflects the pace at which we are scaling to serve customers around the world.”

Josh Payne, CEO of Nscale

“The vision for AIPCorp was always to build the vertically integrated power-and-compute model that this combination achieves instantly. This combination — plus Nscale’s disciplined balance sheet — delivers exactly what the high-growth AI market demands: a debottlenecked, integrated neocloud platform built to scale.”
