OMRON To Acquire OnLogic Parent Interlogic For $675 Million

OMRON Corporation has agreed to acquire Interlogic, the parent company of industrial computer manufacturer OnLogic, for $675 million on a debt-free, cash-free enterprise value basis. The transaction will be completed through a reverse triangular merger, making Interlogic a wholly owned subsidiary of OMRON.

OnLogic develops, manufactures, and sells highly configurable rugged industrial PCs through a direct-sales and build-to-order model. More than 90% of its sales come from the Americas and Europe, giving OMRON an expanded customer base and greater exposure in those markets.

OMRON said the acquisition will support its strategy of evolving its Industrial Automation Business from a factory automation equipment manufacturer into a broader provider of manufacturing-site digital transformation and physical AI technologies. The companies plan to combine OnLogic’s industrial PCs with OMRON’s precision control technology to develop next-generation physical AI platforms.

The companies also plan to cross-sell products across their respective customer bases and jointly develop digital transformation and physical AI solutions that combine OMRON’s sensing and robotics technologies with OnLogic’s computing platforms.

OnLogic will continue operating as an independent business within OMRON following the transaction and will retain both its direct-to-customer model and OnLogic brand. The current management team, including CEO Sean Larkin, is expected to remain in place. OMRON plans to support OnLogic’s growth by leveraging its business platform in Asia and its expertise in factory automation control equipment.

Interlogic and its subsidiaries generated $154.2 million in net sales and $22.6 million in EBITDA for the fiscal year ended December 2025, with adjusted EBITDA of $27.1 million. OnLogic had 301 employees across seven locations, including two manufacturing sites, as of March 2026.

The acquisition is primarily being funded with OMRON’s existing cash and is expected to close around January 2027, subject to regulatory approvals and other customary closing conditions. Houlihan Lokey is serving as financial advisor to OMRON, while Evercore is advising OnLogic.
