Ondas, a provider of autonomous systems and private wireless solutions, announced it has entered into a merger agreement to acquire U.S. defense prime contractor Mistral Inc., valued at approximately $175 million. The deal will see Mistral merge with a subsidiary of Ondas while continuing to manage its existing contract administration responsibilities.
The acquisition is designed to expand Ondas’ presence within the U.S. Department of Defense and federal contracting ecosystem by leveraging Mistral’s long-standing role as a prime contractor supporting military, federal, and public safety programs. Mistral currently serves as a prime contractor on more than $1 billion in indefinite-delivery, indefinite-quantity contracts and other U.S. Department of Defense programs tied to weapon systems, unmanned aircraft systems, and drone platforms.
Through the transaction, Ondas will gain direct prime contractor access to U.S. Army and U.S. Special Operations procurement vehicles, as well as U.S.-based manufacturing, integration, and federal contracting infrastructure. Mistral’s operations include manufacturing, assembly, integration, and quality assurance capabilities designed to support defense sourcing requirements and rapid deployment of mission equipment.
The combined company will integrate Ondas’ portfolio of autonomous aerial and ground systems with Mistral’s government contracting expertise and integration capabilities. Ondas said this will support the deployment of technologies such as counter-drone platforms, robotic systems, and intelligence, surveillance, and reconnaissance solutions into U.S. military, homeland security, and public safety programs.
Mistral’s experience includes unmanned systems procurement, defense electronics integration, survivability and mobility enhancements, and lifecycle sustainment services. The company also provides systems integration and mission equipment support for operational units under U.S. Army and U.S. Special Operations Command contract vehicles.
Ondas said the acquisition aligns with its strategy to transition from standalone system deployments to structured participation in multi-year Department of Defense contract vehicles and programs of record. The deal is expected to enhance the company’s ability to compete for large-scale government programs while expanding manufacturing and program execution capabilities in the United States.
