Ondas has acquired GATE Technologies and affiliated European manufacturer Bron Technologies in a transaction valued at $205 million upfront plus up to $185 million in performance-based consideration, giving the autonomous defense technology company a major new position in electronic safe-and-arm and fuzing systems.
Ondas will pay $105 million in cash and $100 million in common stock, plus a working capital adjustment. An additional earn-out of up to $185 million is tied to financial targets through 2028 and can be paid in cash or Ondas shares at the company’s discretion.
The maximum potential transaction consideration is therefore approximately $390 million before the working capital adjustment.
GATE, founded in 2006, develops Electronic Safe & Arm Devices and advanced electronic fuzing technologies used in rockets, missiles, UAVs and loitering munitions.
Its products have been integrated into dozens of weapon systems, including more than 90 systems cited by Ondas, with approximately 100 configurations developed for its RUBI LM product family.
Electronic safe-and-arm and fuzing systems are designed to keep munitions safe during storage, transportation, handling and launch while allowing arming and initiation only after specified mission and safety conditions have been met.
Ondas said the technology is becoming increasingly important as precision weapons become smaller, more autonomous and software-defined.
The acquisition also adds Bron’s Poland-based manufacturing and certification capabilities, providing Ondas with a NATO-based, non-ITAR production footprint in Europe.
Approximately 80% of GATE’s revenue is generated outside the Middle East.
Ondas has also begun establishing U.S. engineering, integration, qualification and production capabilities, with U.S.-produced finished products and integrated systems expected during the first half of 2027.
Financially, Ondas expects GATE to generate approximately $65 million in revenue during 2026 and grow to approximately $180 million by 2028.
The company expects the acquired business to contribute more than $130 million of aggregate adjusted EBITDA over the three years through 2028.
Ondas believes the transaction will strengthen its broader precision-strike platform by adding a critical component layer alongside its existing capabilities in autonomous strike systems, propulsion, communications, mission systems, engineering and software-enabled mission management.
The company also expects the acquisition to support additional revenue and margin opportunities across its counter-UAS and precision-strike businesses.
