ONE Nuclear Completes Hennessy VII Merger With 5 GW Energy Development Portfolio

ONE Nuclear Energy has completed its business combination with Hennessy Capital Investment Corp. VII, creating a publicly traded company focused on developing advanced nuclear, natural gas, and battery storage infrastructure. The combined company, ONE Nuclear Energy Inc., expects its shares to begin trading on the Nasdaq Global Market under the ticker symbol ONEN on or about September 24, 2026. The transaction gives ONE Nuclear access to public capital markets as it advances approximately 5 gigawatts of energy generation capacity under development in Louisiana.

The transaction was approved by Hennessy VII shareholders on August 24, 2026. Before closing, the special purpose acquisition company completed its domestication as a Delaware corporation. ONE Nuclear subsequently became a wholly owned subsidiary, and the combined company adopted the ONE Nuclear Energy Inc. name.

ONE Nuclear’s development strategy combines natural gas generation with advanced nuclear small modular reactor technology. The company intends to use natural gas projects to address nearer-term electricity demand while advancing nuclear projects that could provide additional long-term power generation capacity.

Its initial development activities are concentrated in Louisiana, where the company is pursuing three major projects designed to serve industrial customers, electricity networks, and the growing power requirements of AI infrastructure.

Project Amberjack is a proposed multi-unit small modular reactor campus targeting up to 1 gigawatt of advanced nuclear generation capacity. The standalone project is designed to provide scalable nuclear power through the deployment of multiple reactors.

Project Cayman comprises a proposed 2.88-gigawatt natural gas power plant and a 700-megawatt battery energy storage system with 2.88 gigawatt-hours of storage capacity. The development also includes a co-located, high-capacity data center campus.

Project Barracuda is a separate development consisting of a 1.2-gigawatt natural gas power plant, a 300-megawatt battery storage system with 1,200 megawatt-hours of capacity, and a co-located 1-gigawatt data center.

Together, the three projects represent approximately 5 gigawatts of planned nuclear and natural gas generation capacity, complemented by substantial battery storage infrastructure. These projects remain in development and have not yet entered commercial operation.

ONE Nuclear is positioning its infrastructure platform to address rising electricity requirements associated with artificial intelligence, data centers, and industrial expansion. The company is pursuing projects that combine different energy technologies according to customer requirements, grid conditions, and regional infrastructure needs.

Its development activities include site control, regulatory planning, engineering coordination, and identifying constraints that could affect project execution. The company is also working with technology providers across the natural gas and advanced nuclear sectors.

The completed business combination provides ONE Nuclear with a public market listing and an additional avenue for accessing capital as it pursues its development pipeline. The announcement did not specify the transaction’s final cash proceeds.

Richard Taylor, ONE Nuclear’s co-founder, chairman, and CEO, will lead the newly public company. Its management team and advisory board bring experience spanning energy development, nuclear technology, regulation, and government affairs.
