Overlord Labs, a San Jose, California-based semiconductor company developing intelligent battery management technology, has closed an oversubscribed $4.35 million seed extension, bringing its total capital raised to $10 million. The financing was led by Band of Angels, with participation from Foothill Ventures, Unlock Pacific Ventures, NuFund Venture Group, Sand Hill Angels, and Castle Fund. Returning strategic angel investors also participated, increasing their commitments following earlier investments in the company.
Overlord Labs has now raised $7.25 million in seed financing, with the remaining $2.75 million of its reported $10 million total coming from nondilutive strategic development funding.
The distinction means the full $10 million was not raised through equity financing.
The latest investment comes as Overlord transitions from semiconductor development into product validation following the successful initial operation of its flagship GENESIS Battery Intelligence IC.
The company has completed the chip’s tape-out and brought its initial silicon into operation, allowing it to begin the next stage of testing and qualification.
GENESIS is built on Overlord’s proprietary Silicon + Algorithm Architecture, which integrates battery intelligence directly into semiconductor hardware.
The platform is designed to address increasingly demanding power management requirements in devices that combine advanced computing capabilities with small batteries.
Overlord is initially targeting smart glasses, wearable devices, hearables, and other edge AI products.
These devices increasingly incorporate AI processing, wireless connectivity, sensors, and other features that place substantial demands on battery capacity.
Manufacturers must balance processing performance and battery life while maintaining compact designs and managing heat.
Overlord believes traditional fixed-function battery management chips are becoming less suitable for these products’ requirements.
Its technology combines semiconductor hardware with battery algorithms, providing manufacturers with a more adaptable approach to managing battery performance.
The first GENESIS device is designed for single-cell battery systems.
It is intended to support both established battery technologies and emerging chemistries, including silicon-anode batteries.
Silicon-anode technology is attracting interest from device manufacturers seeking higher energy density within constrained physical designs.
However, different battery chemistries can introduce additional requirements for charging, safety, thermal management, and performance optimization.
Overlord is developing GENESIS to provide manufacturers with a platform that can adapt to these requirements through its integrated hardware and algorithms.
The company plans to use its latest financing to complete validation and qualification of the initial chip.
Additional capital will support customer sampling, engagement with Tier 1 original equipment manufacturers, firmware development, and expansion of its battery algorithm capabilities.
Overlord also intends to establish the production infrastructure required for commercial manufacturing.
The company is targeting volume production in the first half of 2027, subject to the completion of validation, customer qualification, and other commercialization requirements.
The financing provides additional resources as Overlord moves from demonstrating operational silicon toward supplying its technology to commercial device manufacturers.
As a fabless semiconductor company, Overlord develops chip technology without owning the manufacturing facilities used to fabricate its semiconductors.
Its focus is on the architecture and algorithms supporting battery intelligence, with initial applications centered on compact, battery-powered AI devices.
