Paul Hastings announced that Sasha Belinkie has joined the firm as a partner in New York, further strengthening its executive compensation, employee benefits and ERISA practice, as well as its broader public company M&A and corporate platform.
Belinkie joins Paul Hastings from White & Case. She focuses on the executive compensation aspects of mergers and acquisitions, cross-border capital markets transactions, and restructuring transactions. She also advises clients on standalone executive compensation and governance matters.
Before joining White & Case, Belinkie spent most of her career at Wachtell. Her practice includes advising on executive compensation and benefits issues in public company mergers and acquisitions, with a particular focus on representing target companies in strategic mergers and advising public and private buyers on the acquisition, management, and disposition of corporate assets.
Belinkie works closely with boards and senior management on workplace talent, governance, and human capital issues tied to major corporate transactions. Her work includes structuring employment contracts and incentive packages, advising on personal tax considerations connected to company transactions, and counseling companies on internal governance matters, securities laws, and compensation disclosure.
She also assists executives on employment-related matters, including stock options, equity awards, long-term retention agreements, and severance arrangements.
Belinkie’s experience includes work for Ionic Digital, Masimo Corporation, Sun Pharmaceuticals Industries, and USA Rare Earth. Her representative matters include advising Masimo Corporation on its $9.9 billion acquisition by Danaher Corporation; Sun Pharmaceuticals on its agreement to acquire Organon for an enterprise value of $11.75 billion; Fertitta Entertainment on its agreement to acquire Caesars Entertainment for approximately $17.6 billion; and Square in its $29 billion acquisition of Afterpay.
Since 2020, Belinkie has served as co-chair of the New York City Bar Association’s Subcommittee on Executive Compensation and Nonqualified Deferred Compensation. In 2022, she received the American Bar Association’s “On the Rise – Top 40 Young Lawyers Award.”
