Paul Weiss Hires Deidre Kalenderian As Executive Compensation Partner In New York

Paul, Weiss, Rifkind, Wharton & Garrison LLP has announced that Deidre Kalenderian has joined the firm as a partner in its Executive Compensation Department in New York. Kalenderian, who previously served as a partner at Paul Hastings, advises private equity sponsors and companies on executive compensation and employee benefits matters associated with complex corporate transactions, including mergers and acquisitions, restructurings, and initial public offerings.

Kalenderian brings extensive experience advising private equity sponsors and corporate clients on M&A transactions, divestitures, spin-offs, carve-outs, IPOs, and restructurings. Her practice also encompasses executive compensation and employee benefits matters associated with companies’ day-to-day operations.

Her expertise includes structuring, negotiating, and implementing employment agreements, severance arrangements, change-in-control provisions, deferred compensation plans, and equity-based incentive programs. She also advises clients on related securities, accounting, tax, and corporate governance matters.

Kalenderian has advised on several major private equity transactions. Her notable representations include GTCR’s acquisition of a majority stake in Worldpay and Hellman & Friedman’s acquisition of athenahealth alongside Bain Capital.

She also advised Crescent Point Capital on Ares Management Corporation’s acquisition of the Crescent Point Capital platform and represented WeWork and its affiliates during their Chapter 11 bankruptcy proceedings.

Her appointment expands Paul, Weiss’s executive compensation capabilities, particularly in transactions involving private equity sponsors and companies undergoing significant corporate changes. The firm’s Executive Compensation Department works alongside its corporate and restructuring practices to address compensation and employee benefits considerations in public and private transactions.

The department advises clients on negotiating and modifying change-in-control arrangements, managing employee benefit plans, addressing employee-related obligations, and navigating compensation issues arising from complex transactions and restructurings.

Kalenderian earned her Bachelor of Arts from Syracuse University, graduating summa cum laude, and her Juris Doctor from the University of Pennsylvania Law School.
