Polsinelli added Zach Manning as a shareholder in its New York Restructuring & Strategic Capital Practice, expanding the firm’s capabilities in complex financings, strategic transactions, and restructurings.
Manning advises companies, lenders, sponsors, and investors across the capital structure, from new financings and strategic transactions through large-scale restructurings.
His addition is part of the continued expansion of the practice under Chair David J. Karp.
Polsinelli said the group is building a middle-market-focused restructuring and strategic capital offering designed to address increasingly complex capital structures.
Manning brings experience in liability management, recapitalizations, out-of-court workouts, and major Chapter 11 cases.
He also advises boards and management teams navigating distressed situations and other strategic challenges.
Polsinelli’s Restructuring & Strategic Capital Practice works closely with the firm’s M&A Practice to help clients evaluate alternatives across the capital stack before financial challenges become crises.
The group advises on transactions designed to address liquidity needs, extend maturities, and provide additional financial flexibility.
Manning has represented debtors, creditors, and investors in distressed and special situations across multiple industries.
His addition also expands the firm’s ability to advise on complex capital structure matters and strategic opportunities.
The practice is also increasing its work representing disinterested directors in large Chapter 11 proceedings across jurisdictions.
Manning said Polsinelli’s capabilities in healthcare and real estate were important factors in his decision to join the firm, given the demand for restructuring and capital solutions in those sectors.
He earned his J.D. from the University of Pennsylvania Carey Law School and clerked for Vice Chancellor Joseph R. Slights III of the Delaware Court of Chancery.
Manning is admitted to practice in New York and Delaware.
KEY QUOTES:
“Zach’s experience in liability management, recapitalizations and out-of-court workouts broadens the range of solutions we can offer clients as their capital structures grow more layered. He has handled some of the largest and most complex chapter 11 cases in the country and regularly guides boards and management teams through the challenging strategic and practical questions that arise in distressed situations. That combination of versatility, elite level experience and an entrepreneurial mindset is exactly the profile we’re recruiting for as we continue to invest in the practice.”
David J. Karp, Chair of the Restructuring & Strategic Capital Practice at Polsinelli
“I joined Polsinelli because I saw a tremendous opportunity to help shape a growing practice on an exceptional platform. Polsinelli’s depth in health care and real estate, two sectors where restructuring and capital solutions are in high demand, gives this group a real advantage, and firm leadership is fully invested in this practice. Clients are coming to us earlier and with harder questions, and I’m excited to help clients find the best answers for their specific situations.”
