Premium Guard announced it has signed an agreement to acquire key intellectual property and related assets from First Brands Group, strengthening its product portfolio and global growth strategy. The transaction, which is subject to bankruptcy court approval and other closing conditions, is expected to close in early April.
The acquisition includes patents, engineering capabilities, and technical know-how spanning multiple automotive product categories. These assets are expected to enhance Premium Guard’s ability to expand its offerings, accelerate innovation, and better serve customers across diverse markets and geographies.
Founded in 1996, Premium Guard has developed a global supply chain and distribution network alongside strong capabilities in engineering, product management, and category management. The addition of these intellectual property assets is positioned to deepen those capabilities, particularly in areas such as wiper blades, spark plugs, and diesel filtration.
The deal also marks Premium Guard’s expansion into additional maintenance categories, including ignition and spark plugs. Combined with its existing strengths in filtration, wiper blades, and related maintenance components, such as drain plugs, the company is building a more comprehensive maintenance product portfolio. This broader offering is expected to enhance category management strategies, improve product assortment, and create stronger cross-selling opportunities for customers.
In addition, the inclusion of internationally recognized brands is expected to support Premium Guard’s efforts to expand beyond North America. Leveraging its established supply chain and distribution infrastructure, the company aims to align more closely with customers pursuing global growth strategies and to strengthen its presence in international markets.
Premium Guard emphasized that the acquisition will not alter its core business model. The company will continue to focus on private-label programs, category management, and supply chain execution while leveraging the new assets to deliver higher-quality products, broader coverage, and faster innovation cycles.
