Procede Software Acquires RIMSS To Expand Dealer Technology Platform

Procede Software has acquired RIMSS (Responsive Information Management Systems and Services, Inc.), bringing together two dealer management system providers serving commercial vehicle, agriculture, construction, and transportation dealers across North America.

San Diego-based Procede provides enterprise-level dealer management systems for the commercial vehicle industry through its Excede platform. The company serves more than 1,200 rooftops and 25,000 daily users across the truck, trailer, bus, and aftermarket markets.

Founded in 1983 and based in San Antonio, RIMSS provides dealer management technology to agriculture, construction, and transportation dealers. The company supports more than 200 dealer groups and 400 rooftops across North America and works with OEMs including Kubota, Case IH, AGCO, and Hino.

The combination is intended to expand Procede’s reach across adjacent dealer markets while giving both companies additional resources to invest in product development, engineering, and customer service. Procede said the businesses share similar customer-focused operating models and both have developed long-term relationships with dealers and OEM partners. RIMSS retains approximately 99% of its customers.

Both companies have built dealer management platforms using Microsoft technology and provide integrations and services supporting dealer operations. Procede plans to combine its engineering capabilities, go-to-market resources, and Procede Intelligence AI technology with RIMSS’ more than four decades of experience serving agriculture, construction, and transportation markets.

The transaction could also strengthen Procede’s position with dealer groups operating across multiple equipment categories. Some organizations using Procede’s Excede platform for truck operations have expanded into agriculture and construction, creating opportunities for Procede and RIMSS to support more of their businesses through their respective platforms.

Procede said both Excede and the RIMSS platform will continue to be developed and supported following the acquisition. RIMSS customers will retain their current software, contracts, and support relationships, while the company’s San Antonio team will continue working with customers. OEMs and other partners are also expected to continue working with their existing contacts.

The acquisition follows Rubicon Technology Partners’ investment in Procede in January 2026. Procede said that investment has supported increased hiring and accelerated technology development across its portfolio, with the RIMSS acquisition representing another step in the company’s expansion strategy.

Procede was founded in 2001 and serves dealer locations across the United States, Canada, and Australia. Its Excede platform includes departmental functionality, OEM integrations, APIs, data capabilities, and Procede Intelligence tools designed to improve dealership operations and decision-making.

KEY QUOTES:

“Respect is earned over decades by people who care deeply about their customers, their products, and each other. RIMSS has earned it. Tommy, Dale, and their team share our values, our commitment to dealers and OEMs, and a belief that people make the difference. This acquisition builds on that foundation and creates more opportunities for our customers, our people, and the industries we serve. I’m excited about what we’ll accomplish together. When Rubicon invested earlier this year, Procede committed to reinvesting in our people, our technology, and the industry. We’ve delivered on that. This year we’ve moved faster than ever, adding outstanding new talent and accelerating innovation across our entire portfolio. RIMSS is the next step on that journey, and we’re excited to build on our shared core values while bringing industry-leading software and services to even more dealers.”

Larry Kettler, CEO & Chairman Of Procede Software

“After more than 40 years, we weren’t looking for someone to take over what we built. We were looking for a partner who would invest in our people and products without changing the core values our customers count on. Procede has grown its business the same way we’ve grown ours, by staying close to dealers and putting money back into the product year after year.”
