Procore To Acquire DroneDeploy For $845 Million To Add AI-Powered Jobsite Visual Intelligence

Procore Technologies has entered into a definitive agreement to acquire DroneDeploy for approximately $845 million in cash, subject to customary purchase price adjustments. The transaction will add DroneDeploy’s aerial and ground-based reality capture, robotics and visual intelligence capabilities to Procore’s construction management platform.

DroneDeploy’s technology has been used across more than three million jobsites in over 180 countries. Its platform gathers visual information through drones, ground robots, mobile devices, fixed cameras and wearable cameras, creating digital records of construction sites and operating assets that can be analyzed alongside project information stored in Procore.

The combination is intended to connect physical jobsite conditions with Procore’s construction records, workflows and AI capabilities. DroneDeploy can capture three-dimensional ground and aerial imagery, while Procore can associate those images with drawings, requests for information, inspections, schedules and other project documentation. This could allow construction teams to automatically document progress, identify safety or quality issues earlier and initiate actions within the same platform.

The companies will bring together two large industry-specific datasets. Procore processed nearly 400 million photos, more than 126 million drawings and over 10 million requests for information, submittals and inspections during the past year, while DroneDeploy has collected visual data covering approximately 20 trillion square feet, tens of millions of annotations and more than 100,000 labeled safety issues. Procore expects these datasets to support AI-powered digital coworkers capable of observing project conditions, reasoning across available information and assisting field and administrative teams.

The acquisition is also expected to create immediate commercial opportunities through cross-selling between the companies’ customer bases. Over time, Procore plans to integrate DroneDeploy more deeply into its platform and replace portions of manual inspection and documentation work with automated visual monitoring, an approach that could help construction companies manage labor shortages and overscheduled field teams.

The transaction is expected to close later in 2026, subject to customary closing requirements and regulatory approvals. Procore’s current financial outlook excludes any future contribution from DroneDeploy. Goldman Sachs is serving as Procore’s exclusive financial advisor, while Citi is advising DroneDeploy.
