Quantum Computing Inc. announced it has completed the acquisition of NuCrypt, a quantum communications technology company, in a transaction valued at $5 million that will be paid through a combination of cash and shares of the company’s common stock.

The deal positions quantum communications as a key commercialization vertical within Quantum Computing Inc.’s broader strategy across quantum optics and integrated photonics technologies. By integrating NuCrypt’s systems and products into its portfolio, the company expects to accelerate the development of secure communications technologies while expanding its presence in the growing quantum networking market.

NuCrypt, founded in 2003, has spent more than two decades developing commercial quantum communications technology. Its work spans quantum optics, RF-photonics, and photonic signal processing. The company has collaborated with organizations including NASA, the U.S. Army Research Laboratory, and leading research universities, and has served customers across Australia, Canada, and Europe.

NuCrypt is also part of the Chicago Quantum Exchange and the Quantum Economic Development Consortium and has previously worked with major research institutions including Fermilab, Argonne National Laboratory, and Northwestern University. Its patent portfolio adds new intellectual property assets to Quantum Computing Inc.’s technology base and expands the company’s capabilities in secure communications and advanced computing.

Quantum Computing Inc. expects the integration of its thin film lithium niobate technology with NuCrypt’s systems to reduce device footprint, enhance performance, and support scalable high volume manufacturing. The companies plan to highlight their combined technologies at the upcoming OFC Conference and Exhibition in Los Angeles in March 2026.

Following the transaction, NuCrypt will operate as a wholly owned subsidiary of Quantum Computing Inc.
