Securityholders of The Real Brokerage and RE/MAX Holdings have approved their proposed combination, moving the companies closer to forming Real REMAX Group, a global technology-enabled real estate platform expected to support more than 180,000 real estate professionals.
Approximately 99% of votes cast by Real shareholders supported the transaction. And approximately 98.9% of votes cast by Real shareholders, option holders, and restricted share unit holders voting together as a single class also supported the arrangement.
At RE/MAX Holdings, holders representing approximately 78.8% of the voting power of the company’s common stock voted to approve the acquisition.
The transaction still requires satisfaction of remaining closing conditions, including a final order from the Supreme Court of British Columbia approving the arrangement aspects of the deal.
The companies expect to close the transaction within the next several weeks if those conditions are satisfied.
Following completion, the combined company will operate as Real REMAX Group.
The holding company will bring together Real’s technology-powered brokerage platform and agent community with RE/MAX’s global franchise system and established real estate brand.
The combined organization is expected to support more than 180,000 real estate professionals in over 120 countries and territories.
Real REMAX Group would have generated approximately $2.3 billion in pro forma 2025 revenue.
Pro forma adjusted EBITDA would have been approximately $157 million before synergies.
The companies believe that greater scale and financial capacity will allow the combined organization to invest more heavily in technology, artificial intelligence, education and other innovation initiatives.
Real currently supports more than 36,000 agents across all 50 U.S. states and Canada.
Its technology platform combines real estate brokerage with mortgage and closing services as part of an integrated transaction experience.
RE/MAX operates a substantially larger franchise network, with more than 145,000 agents across nearly 8,500 offices in more than 120 countries and territories.
The company also owns Motto Mortgage, its U.S. mortgage brokerage franchise business.
Real and RE/MAX plan to preserve their distinct brands and business models following the transaction.
Management has positioned the combination as a way to share greater technology investment, financial resources and platform capabilities without eliminating the entrepreneurial models underlying each network.
The securityholder votes remove one of the most significant remaining conditions to completing the combination.
