Salem Media To Be Acquired By WaterStone In Transformational Going‑Private Deal

Salem Media has entered into a definitive agreement to be acquired by WaterStone, a move that will take the company private and strengthen its long‑term mission across radio, digital media, streaming, podcasting, television and publishing. Under the terms of the agreement, WaterStone will acquire all outstanding shares of Salem Media common stock for $1.00 per share, representing a premium of approximately 250 percent over the company’s recent trading price.

Salem co‑founder Edward Atsinger III said the company had spent the last decade seeking the right long‑term steward to carry its mission forward. He noted that WaterStone’s alignment with Salem’s founding vision made the partnership a natural fit. The agreement comes at a time of strong momentum for Salem, which outperformed broader radio industry trends in the first quarter with positive local radio growth of 2.8 percent, compared to a 3.4 percent decline across the industry, excluding recently sold stations.

The company has also continued expanding its national radio, streaming and podcast platforms, featuring one of the strongest lineups in conservative and Christian media. Its roster includes Scott Jennings, Larry O’Connor, Alex Marlow and Lara Trump, alongside influential Christian voices such as Greg Laurie, Sean McDowell, Becket Cook and Kirby Kelly.

Chief Executive Officer David Santrella said the partnership with WaterStone is built on long‑term alignment and a shared commitment to Salem’s mission. Over the past 18 months, the two organizations have collaborated on several strategic initiatives tied to Salem’s growth and organizational vision. WaterStone’s previous preferred stock investments gave it a 49.5 percent voting interest in the company.

Salem remains one of the largest Christian and conservative multimedia companies in the United States, reaching millions each month through its national radio network, streaming platforms, digital media brands and publishing operations. WaterStone’s leadership said the acquisition reflects years of shared vision and will provide Salem with additional stability and new opportunities to expand its reach.

The transaction was unanimously approved by Salem’s Board of Directors and is expected to close in August 2026, subject to shareholder and regulatory approvals.
