Sempra Completes Ecogas Sale For Approximately $500 Million As $65 Billion Capital Plan Advances

Sempra has completed the sale of Ecogas México for approximately $500 million in proceeds as the energy infrastructure company continues to recycle capital into regulated utility investments in Texas and California.

Ecogas operates a natural gas distribution network in Mexico serving more than 600,000 residential, commercial and industrial customers across the Mexicali, Chihuahua and La Laguna-Durango regions.

The divestiture is part of Sempra’s broader 2026 value creation strategy and is intended to simplify its business portfolio while strengthening its financial position.

Sempra plans to redirect capital toward regulated utility infrastructure across its U.S. operations.

The company has outlined an approximately $65 billion five-year capital plan, with more than 95% of planned investment allocated to regulated utility infrastructure.

The Ecogas transaction follows another significant capital recycling initiative involving Sempra Infrastructure Partners.

Sempra previously agreed to sell a 45% equity interest in Sempra Infrastructure Partners to KKR affiliates.

That transaction is expected to close in the third quarter of 2026.

Together, the transactions are intended to provide capital for transmission and distribution investments across Texas and California.

Sempra also expects the proceeds to reduce its reliance on future common equity issuance to finance growth while supporting credit quality and overall financial strength.

The capital allocation strategy comes as Sempra focuses increasingly on building its regulated utility businesses around growing power demand, grid reliability and infrastructure resilience.
