SKYX To Merge With Deako To Build AI-Powered Smart Home Platform

SKYX Platforms has signed a merger agreement with Deako, combining the companies’ plug-and-play technologies to create a broader smart home and AI platform spanning wall switches, electrical outlets, ceiling fixtures, sensors and other connected products.

Deako is a Silicon Valley-backed smart home AI and intelligent lighting company with 20 U.S. and global patents and pending applications around plug-and-play smart home and AI-activated lighting switches. SKYX has more than 100 patents and pending applications, giving the combined businesses a portfolio of more than 120 patents and applications.

Under the merger agreement, SKYX will issue 25 million common shares, described as equal to 18.46% of the company and subject to a lockup and leak-out arrangement extending for as long as two years.

Following the merger, existing SKYX shareholders are expected to hold 84.4% of the company, while Deako shareholders and its lender collectively will own 15.6%. SKYX will also pay Deako’s lender $4 million by closing and issue an $8.5 million note, with $2.25 million payable in the first quarter of 2027 and the remaining $6.25 million in the fourth quarter.

Deako has shipped more than 32 million units during the past five years and generated more than $26 million in revenue in 2025.

The company supplies technology to more than 50 U.S. homebuilders, including D.R. Horton, Toll Brothers, Risewell Homes, Adams Homes, Maronda Homes, Shea Homes and Schumacher Homes.

SKYX expects the combination to provide a faster route for its technology into Deako’s homebuilder network, while Deako could gain access to SKYX projects spanning Marriott and European hotels and Miami’s $4 billion Smart City project.

The companies expect the combination to increase Deako’s number of SKUs offered to the builder, hotel and professional markets by approximately fivefold and create opportunities to deploy millions of combined products.

SKYX and Deako are seeking to offer a more comprehensive plug-and-play approach to the electrical infrastructure inside homes and commercial buildings. Their combined platform is intended to cover wall outlets, wall switches and ceiling outlet boxes supporting lighting, ceiling fans, smoke detectors, safety technology, sensors and AI-enabled smart home products.

The companies also expect the merger to create additional recurring revenue opportunities through AI services, monitoring, subscriptions, licensing and product upgrades, while producing cost savings through consolidation across software, accounting, administration, sourcing and other functions.

Deako founder and CEO Derek Richardson will remain CEO of Deako and is expected to lead SKYX’s expansion across the builder, hotel and professional markets.
