Sumitomo Forestry To Acquire U.S. Homebuilder Tri Pointe Homes In $4.5 Billion All-Cash Deal

Sumitomo Forestry has agreed to acquire Tri Pointe Homes, Inc. in an all-cash transaction valued at approximately $4.5 billion, creating a larger U.S. homebuilding platform aimed at expanding the supply of affordable, high-quality housing across key growth markets.

Under the terms of the definitive agreement, Tri Pointe Homes stockholders will receive $47.00 per common share in cash. The offer represents an approximately 29% premium to Tri Pointe Homes’ February 12, 2026, closing stock price, an approximately 42% premium to its 90-day volume-weighted average price, and exceeds the company’s all-time high closing stock price.

Founded in 2009, Tri Pointe Homes has grown into one of the nation’s largest homebuilders, operating more than 150 active communities across 13 high-growth states and the District of Columbia. In 2024, the company delivered more than 6,400 homes and, over its 17-year history, has closed more than 58,000 homes nationwide. The transaction strengthens Sumitomo Forestry’s geographic diversification and adds Tri Pointe’s premium lifestyle brand, locally driven operating model, and established regional relationships.

Sumitomo Forestry, which has invested in locally led U.S. homebuilders for more than two decades, is pursuing a long-term strategy under its “Mission TREEING 2030” vision to supply 23,000 homes annually in the U.S. by 2030. The company expects the acquisition to enhance profitability by leveraging complementary strengths across its five existing U.S. homebuilding businesses and to increase financial capacity to deliver more affordable homes.

Upon completion of the transaction, Tri Pointe Homes will operate as a distinct brand within Sumitomo Forestry’s family of U.S. homebuilders. The company will retain its existing leadership team, including Chief Executive Officer Doug Bauer and President and Chief Operating Officer Tom Mitchell, and maintain its home office in Irvine, California, along with its 17 divisions and financial services operations.

The merger agreement was unanimously approved by the boards of directors of both companies. The transaction is expected to close in the second quarter of 2026, subject to Tri Pointe Homes stockholder approval and other customary closing conditions. It is not subject to a financing condition.
