TDK To Acquire Fabric8Labs In Up To $400 Million Deal To Accelerate Data Center Expansion

TDK Corporation announced that it has entered into a definitive agreement to acquire Fabric8Labs for up to $400 million in cash, consisting of an upfront payment and a multi-year earnout. Upon completion of the transaction, Fabric8Labs will become a wholly owned subsidiary of the Japanese electronics company.

The acquisition is intended to accelerate TDK’s data center initiatives and expand its portfolio with integrated thermal management technologies designed for next-generation AI infrastructure. The deal remains subject to customary closing conditions and regulatory approvals.

Founded in 2015 and headquartered in San Diego, California, Fabric8Labs has developed a proprietary metal 3D printing process known as Electrochemical Additive Manufacturing (ECAM). The technology enables the production of complex, high-precision components used across electronics, semiconductor, communications, and medical device industries.

TDK said the transaction will enhance its capabilities in thermal management components for data center cooling systems and help the company scale the business over the next several years. The company also plans to explore additional applications for its passive components to support the growing data volumes and energy demands associated with artificial intelligence.

Fabric8Labs employs approximately 150 people and was founded by CEO Jeff Herman and CTO David Pain. Investors in the company include New Enterprise Associates, Intel Capital, Lam Capital, and Schneider Electric’s venture capital arm, SE Ventures.

The acquisition also highlights the role of TDK Ventures, which invested in Fabric8Labs during its seed financing round and has supported the company through collaborative efforts across TDK’s value chain.

TDK, which generated $16.6 billion in sales during fiscal 2026 and employs approximately 107,000 people worldwide, views AI infrastructure as a strategic growth area. The company markets products across passive components, sensors, batteries, power supplies, software, and enterprise AI solutions.

San Francisco-based GTK Partners is serving as financial advisor to TDK, while Baker McKenzie is acting as legal counsel.
