TE Connectivity has entered into a definitive agreement to acquire Astrodyne TDI from private investment firm Tinicum for approximately $1.4 billion.
Astrodyne TDI provides advanced power management and filtering products for mission-critical industrial applications. The business is expected to contribute more than $250 million in annual sales following the acquisition.
The acquisition will expand TE Connectivity’s power technology portfolio within its Industrial Solutions segment. The company’s industrial products support applications involving data centers, energy networks, factory automation, aerospace, defense, medical technology and connected infrastructure.
Power management technology controls, converts and distributes electrical energy within equipment and systems. Filtering products help reduce electrical interference and maintain stable power delivery, which can be particularly important in applications where equipment reliability and performance are critical.
The transaction is expected to strengthen TE Connectivity’s ability to provide integrated power, signal and data technologies to industrial customers. Astrodyne TDI’s capabilities will complement TE Connectivity’s existing portfolio of connectivity, sensor and power distribution products.
The purchase price represents approximately 5.6 times Astrodyne TDI’s expected annual sales of more than $250 million. This calculation compares the acquisition price with revenue and does not account for the target’s profitability, cash, debt or potential cost and revenue benefits.
TE Connectivity plans to report Astrodyne TDI as part of its Industrial Solutions segment after the acquisition closes.
The transaction remains subject to regulatory approvals and customary closing conditions. TE Connectivity expects to complete the acquisition by the end of 2026, although the timing could change if approvals or other conditions take longer than anticipated.
